Terms of Service

1. Agreement
These Terms of Service (“Terms”) govern your use of https://rezonna.com (the “site”) and the AI voice agent services provided by Rezonna (“Rezonna”, “we”, “us”) (the “service”). By using the site or the service, you agree to these Terms. If you use the service on behalf of a business, you confirm you are authorised to bind that business, and “you” means that business.
If you sign a quote, order form, or separate agreement with us, that document controls where it conflicts with these Terms.
2. The service
Rezonna provides an AI caller configured around your workflow. It can answer inbound calls, place outbound follow-ups, qualify leads, book next steps, and update your CRM. Calls you choose to escalate are handed to a person on your team. The exact scope, integrations, and call volume are set out in your quote or order.
We may improve or change the service over time. We will not materially reduce the core functionality you are paying for during your term without notice.
3. Your responsibilities
- Use the service only for lawful purposes and in line with these Terms.
- Obtain the consents and give the disclosures required to call, record, and process data about the people your agent speaks with, including disclosure that they are speaking with an AI where required.
- Comply with telemarketing and telecom rules that apply to you, including TRAI regulations and Do Not Disturb (DND) preferences in India, the Telephone Consumer Protection Act (TCPA) and do-not-call rules in the United States, and equivalent rules in the UAE, Saudi Arabia, and anywhere else you call.
- Obtain any prior express consent required before the agent places outbound calls. In the United States, AI-voice calls are treated as artificial-voice calls under the TCPA.
- Provide accurate scripts, qualification rules, escalation rules, and business information, and review them for accuracy.
- Have the right to connect and share any CRM, calendar, or other data you give us access to.
- Keep your account credentials secure and tell us promptly about any unauthorised use.
4. Acceptable use
You agree not to use the service to:
- Make unlawful, fraudulent, deceptive, harassing, or abusive calls.
- Impersonate a person or organisation, or mislead callers about who is calling.
- Call people who have opted out or are registered on DND or do-not-call lists without a lawful basis.
- Collect sensitive data you are not permitted to collect.
- Reverse engineer, overload, probe, or interfere with the service, or bypass its limits or security.
- Resell or provide the service to third parties without our written consent.
5. Fees and payment
Plans, call volumes, fees, billing cycle, and any setup charges are set out in your quote or order. Plan names and descriptions on the site are for information only. Unless your order says otherwise, fees are exclusive of taxes, invoices are due within 15 days, and fees already paid are non-refundable.
Starter plans can be cancelled at any time, effective at the end of the current billing period. Other plans follow the term in your order. We may suspend the service if undisputed invoices remain unpaid after notice.
6. Your data and intellectual property
You own your data, including call recordings, transcripts, contacts, scripts, and CRM content. You grant us permission to use it only to provide, secure, and support the service for you. Our handling of personal data is described in our Privacy Policy.
Rezonna owns the platform, software, models, configurations we create, and all related intellectual property. We may use de-identified, aggregated data about service usage to operate and improve the service, provided it does not identify you or any individual.
If you give us feedback, we may use it without obligation to you.
7. AI limitations
The AI agent follows your configuration and can still misunderstand callers, make mistakes, or give incomplete answers. You are responsible for reviewing its configuration and outcomes and for decisions you make based on them. The agent does not provide legal, medical, financial, or other professional advice.
8. Confidentiality
Each party will keep the other’s non-public business, technical, and customer information confidential, use it only for this relationship, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.
9. Suspension and termination
We may suspend or limit the service immediately if your use breaches these Terms, creates legal risk, or threatens the security or stability of the service. Either party may terminate for a material breach that is not fixed within 15 days of written notice.
On termination, your access ends and outstanding fees become due. We will delete or return your data as described in our Privacy Policy and your order.
10. Disclaimer
Except as expressly stated in your order, the site and service are provided “as is” and “as available”. To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and uninterrupted or error-free operation. Telephony networks, CRMs, and other third-party services are outside our control.
11. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising from the service is limited to the fees you paid us for the service in the 12 months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited by law.
12. Indemnity
You will defend and indemnify Rezonna against third-party claims arising from your scripts, your data, your calling practices, or your breach of these Terms or applicable law.
13. Governing law
These Terms are governed by the laws of India. The courts in Pune, Maharashtra have exclusive jurisdiction over any dispute arising from them.
14. Changes to these Terms
We may update these Terms from time to time. We will change the “Last updated” date above and notify customers of material changes. Continued use of the service after changes take effect means you accept them.
